Limitation of Liability
To the maximum extent permitted by applicable law, UPsilon Clinic Inc., its directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the courses;
- Any conduct or content of any third party on the courses;
- Any content obtained from the courses; and
- Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
In no event shall our aggregate liability exceed the amount you paid for the specific course giving rise to the claim.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Alberta, Canada, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the Commercial Arbitration Act (Alberta) and the Rules of the ADR Institute of Alberta (ADRIA), which rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one, the seat, or legal place, of arbitration shall be Edmonton, Alberta, and the language to be used in the arbitral proceedings shall be English.
Notwithstanding the foregoing, UPsilon Clinic Inc. reserves the right to seek injunctive or other equitable relief in any court of Queen’s Bench of Alberta to protect its intellectual property rights or confidential information.

Continuing Education Disclaimer
While we strive to provide accurate information regarding continuing education credits, it is ultimately your responsibility to verify with your specific licensing board or professional association that the credits offered meet your requirements. We do not guarantee that our courses will be accepted for continuing education credits by all licensing boards or professional associations. We encourage you to retain documentation of your completed courses for your records.
Data Retention and Deletion
We will retain your personal information only for as long as necessary to fulfill the purposes outlined in our Privacy Policy, unless a longer retention period is required or permitted by law. Personal information will be retained for a maximum of 7 years unless otherwise required by law. Upon request, we will delete or anonymize your personal information so that it can no longer be associated with you, subject to any legal obligations to maintain certain records.
